GENERAL TERMS AND CONDITIONS (GTC)

  1. Provider and scope

These General Terms and Conditions ("GTC") apply to all orders and business relationships between:

NIQUA Switzerland SA
Route des Cernys 3
CH-1338 Ballaigues
Switzerland

Email: shop-switzerland@niquagroup.com
Commercial register no.: CH-550-1151566-4
VAT / UID no.: CHE 179.175.663 MWST

and the customers of the online shop.

These GTC govern the use of the website, the online shop and all contracts concluded through it. By accessing the website or placing an order, the customer accepts these GTC.

The privacy policy and the return and refund terms form an integral part of these GTC.

  1. Offer and conclusion of contract

The presentation of the products in the online shop does not constitute a legally binding offer, but a non-binding invitation to order.

By submitting an order, the customer makes a binding offer to conclude a purchase contract. Receipt of the order is confirmed electronically. This automatic confirmation does not yet constitute acceptance of the offer.

The contract is only concluded when NIQUA Switzerland SA expressly confirms the order or ships the goods.

NIQUA Switzerland SA reserves the right to reject an order in whole or in part without having to state reasons.

Obvious errors, typing errors, printing errors or pricing errors are reserved.

  1. Products and product presentation

We make every effort to present the products, images, descriptions, technical features and prices as accurately and up to date as possible.

However, images, colours, dimensions, weights, technical information and other specifications may deviate slightly depending on screen display, manufacturer information or production-related adjustments. Such deviations do not constitute a defect unless they are material.

Changes to products and to the range, as well as technical modifications, are reserved.

  1. Prices and payment terms

Unless otherwise stated, all prices are given in Swiss francs (CHF).

Unless expressly stated otherwise, prices include statutory value added tax and exclude delivery costs. Any delivery costs are shown separately during the ordering process.

The customer may only use the payment methods displayed at the time of ordering.

NIQUA Switzerland SA reserves the right to exclude certain payment methods without prior notice or to subject them to a credit check.

The purchase price is due immediately upon ordering.

NIQUA Switzerland SA is not responsible for interruptions, outages or malfunctions of external payment service providers.

  1. Delivery and shipping

Delivery is made to the address specified by the customer.

Delivery times are non-binding unless expressly agreed otherwise in writing.

Delays due to force majeure, official decisions, customs, transport problems, supply shortages or other circumstances beyond our control do not entitle the customer to any compensation.

Partial deliveries are permitted insofar as they are reasonable for the customer.

Benefit and risk pass to the customer upon delivery of the goods.

  1. Duty to inspect and notice of defects

The customer is obliged to inspect the goods immediately upon receipt.

Any obvious defect, transport damage, delivery error or quantity discrepancy must be reported in writing to NIQUA Switzerland SA without delay, at the latest within 5 calendar days of receipt, to the address shop-switzerland@niquagroup.com.

Hidden defects must be notified immediately after their discovery.

If no timely notice is given, the goods are deemed approved to the extent permitted by law.

  1. Warranty

The statutory warranty rights under Swiss law apply, subject to deviating provisions of these GTC.

To the extent permitted by law, NIQUA Switzerland SA may choose between:

• Repair
• Replacement delivery
• Price reduction
• Refund of the purchase price

Any claim for rescission of the contract or for compensation for indirect damages is excluded, unless mandatory statutory provisions provide otherwise.

Defects attributable to improper use, normal wear and tear, insufficient care, improper storage or interference by the customer or third parties are excluded from the warranty.

  1. Voluntary right of return

The applicable return and refund terms form an integral part of these GTC.

Insofar as NIQUA Switzerland SA grants a voluntary right of return, this is governed exclusively by the separately published return and refund terms.

Swiss law does not, in principle, provide for a statutory right of withdrawal.

In accordance with the return terms, restocking fees may be charged.

The voluntary right of return applies in addition to any mandatory statutory rights and does not restrict them.

  1. Retention of title

The goods remain the property of NIQUA Switzerland SA until the purchase price has been paid in full.

Where necessary or permissible, a retention of title may be entered in the competent register.

  1. Liability

NIQUA Switzerland SA is liable without limitation for damages caused intentionally or through gross negligence.

In cases of slight negligence, NIQUA Switzerland SA is only liable for breach of material contractual obligations and exclusively for the foreseeable damage typical for this type of contract, to the extent that such a limitation is permitted by law.

To the extent permitted by law, any liability for indirect damages, consequential damages, loss of profit, lost savings, loss of data or damages resulting from delivery delays is excluded.

Mandatory statutory provisions remain reserved.

  1. Use of the website

The content of the online shop serves exclusively for information and for the purchase of the products offered.

The following are expressly prohibited:

• any unlawful or abusive use of the website
• any impairment of the security or operation of the website
• the use of malware
• automated access by bots, scrapers or similar tools without prior written authorisation
• the use of content in violation of the rights of third parties or of intellectual property rights

In case of misuse, NIQUA Switzerland SA may block or restrict access to the website or to customer accounts.

  1. Customer account

Insofar as the online shop enables the creation of a customer account, the customer is obliged to provide complete and correct information when registering.

The customer is responsible for the confidentiality of their access data and for all activities carried out via their customer account.

NIQUA Switzerland SA may block or delete a customer account in case of suspected misuse or breach of these GTC.

  1. Intellectual property

All content of the website and the online shop, in particular texts, images, graphics, logos, trademarks, product designations, layouts, designs, software and other files, is protected by copyright, trademark law or other intellectual property rights.

All rights remain with NIQUA Switzerland SA or the respective rights holders.

Any reproduction, modification, distribution, storage, public display or other use that goes beyond the intended use requires the prior written authorisation of NIQUA Switzerland SA.

  1. Data protection

The processing of personal data takes place in accordance with the privacy policy separately published by NIQUA Switzerland SA.

By using the online shop, the customer confirms that they have taken note of this policy.

  1. Third-party links and external services

The website may contain links to external websites or to services provided by third parties.

NIQUA Switzerland SA accepts no responsibility for the content, availability, data protection practices or other characteristics of such third-party offerings.

The use of such offerings is at the customer's own risk.

  1. Changes to the offering and the GTC

NIQUA Switzerland SA reserves the right to change the range, prices, technical specifications, the content of the website and these GTC at any time.

The version valid at the time of the order applies.

  1. Severability clause

Should any provision of these GTC be wholly or partially invalid, void or unenforceable, the validity of the remaining provisions shall remain unaffected.

The invalid provision shall be replaced by a lawful provision that comes as close as possible to the intended economic purpose.

  1. Applicable law and place of jurisdiction

Swiss substantive law applies exclusively, to the exclusion of conflict-of-law rules and of the United Nations Convention on Contracts for the International Sale of Goods (CISG).

The place of jurisdiction for all disputes arising from these GTC, the online shop or the contracts concluded through it is, to the extent permitted by law, Ballaigues, Canton of Vaud, Switzerland.

The mandatory places of jurisdiction under consumer protection law remain reserved.
